PUBLISHING MATCH SERVICE MARKETPLACE TERMS OF SERVICE Last updated: March 18th, 2025

1 - Interpretation and Definitions 1.1 - Interpretation The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in the singular or in the plural.

1.2 - Definitions For the purposes of these Terms of Service:

Account: A unique account created for You to access our Service or parts of our Service.

Affiliate: An entity that controls, is controlled by, or is under common control with a party.

Application: The software platform provided by the Company to facilitate transactions.

Buyer: Users who place Orders for Goods.

Country: Canada, the jurisdiction where Publishing Match operates.

Company: Publishing Match Service Marketplace, operated by Tellwell Publishing, 2031 Store St., Victoria, BC, V8T 5L9, Canada.

Content: Any text, images, or other information uploaded by You to the Service.

Device: Any electronic device that can access the Service.

Feedback: Innovations, suggestions, or other responses from users regarding the Service.

Good: Items or services listed for trade on the Service.

Operator: Publishing Match Service Marketplace.

Order: A request to purchase or trade Goods through the Service.

Seller: Users listing and making Goods available for trade.

Service: The online marketplace platform provided by Publishing Match.

Third-party Social Media Service: External services whose content may be available on our platform.

Website: Publishing Match Service Marketplace.

You: The individual or entity accessing or using the Service.

3 - Acknowledgment Your access to and use of the Service is conditioned on your acceptance and compliance with these Terms. If You do not agree with these Terms, You may not use the Service.

4 - Governing Law These Terms shall be governed by and construed in accordance with the laws of Canada.

5 - User Accounts 5.1 - Account Creation You must provide accurate, current, and complete information when creating an Account. Failure to do so may result in immediate termination.

5.2 - Account Information You may be required to provide identity verification, banking details, and contact information.

5.3 - Account Security You are responsible for maintaining the confidentiality of your password and for all activities that occur under your Account.

5.4 - Account Termination We reserve the right to suspend or terminate Accounts that violate these Terms.

6 - Content 6.1 - Your Right to Post Content By posting Content, You grant Us a license to use, modify, publicly perform, display, and distribute your Content.

6.2 - Content Restrictions You may not post Content that is illegal, offensive, defamatory, discriminatory, or otherwise objectionable.

6.3 - Content Backups While backups are performed, we do not guarantee full data recovery.

6.4 - Intellectual Property of Others We respect intellectual property rights. If You believe Content infringes a copyright, You should notify Us.

7 - Orders of Goods 7.1 - Service Role We act as a facilitator between Buyers and Sellers. We are not a party to Orders and assume no liability for disputes.

7.2 - Buyer Information Buyers must provide accurate and complete payment and contact details.

7.3 - Availability, Errors, and Inaccuracies We do not guarantee the accuracy or availability of Goods.

7.4 - Prices Policy Prices may be updated at any time. If a price changes after an Order, the Buyer will be notified.

7.5 - Payments Payments are processed through third-party payment services and subject to their terms.

7.6 - Service Fees We may charge fees for the use of the Service. Fees are displayed during transactions.

7.7 - Order Modification Any modifications to Orders must be agreed upon between Buyer and Seller.

7.8 - Order Cancellation 7.8.1 - Cancellation by Publishing Match We reserve the right to cancel Orders due to errors, fraud, or other concerns.

7.8.2 - Cancellation by Buyers Buyers may not be entitled to a refund unless authorized by Publishing Match.

7.8.3 - Cancellation by Sellers Sellers who cancel Orders may be subject to penalties or account restrictions.

7.9 - Order Disputes Disputes must be reported to Publishing Match for resolution, at our sole discretion.

8 - Disclaimer of Warranties and Limitation of Liability 8.1 - Limitation of Liability Publishing Match shall not be liable for indirect, incidental, or consequential damages.

8.2 - "AS IS" and "AS AVAILABLE" Disclaimer The Service is provided "AS IS" and "AS AVAILABLE" without warranties.

8.3 - Links to Third-Party Websites We are not responsible for third-party websites linked through our Service.

9 - Dispute Resolution If You have disputes regarding the Service, You agree to attempt resolution informally by contacting Us before pursuing legal action.

10 - Intellectual Property of the Service The Service and its original content, features, and functionality remain our exclusive property.

11 - Your Feedback to Us Any Feedback provided by You grants Us a non-exclusive, perpetual, and royalty-free license to use it.

12 - Changes to these Terms of Service We may modify these Terms at any time, with changes taking effect upon notice. If You do not agree, discontinue use of the Service.
